Gallagher, Callahan and Gartrell advises venture capital clients on fund formation as well as documenting and structuring investments in portfolio companies. Our experience representing investors includes forming, capitalizing and acting as general counsel to New Hampshire's Small Business Investment Company, and advising Vermont's Small Business Investment Company on its investments in New Hampshire portfolio companies.

We represent start-up banks in the placement of their common stock; and recently assisted an investment partnership in the capitalization of a fund to purchase non-performing loans. We work closely with our business and securities professionals in the areas of corporate, securities and tax law, and pass-through entities such as limited partnerships and limited liability companies. We also collaborate with our labor relations and litigation experts to help clients evaluate and document their investments.

Our attorneys serve on the Governor's Venture Capital Advisory Group, and the Advisory Committee to the Director of the New Hampshire Bureau of Securities Regulation. The firm is a founding and annual underwriter of the Private Equity Forum, sponsored by the University of New Hampshire's Center for Venture Research.
